These Terms of Service ("Terms") govern your access to and use of the website (magentascaling.com) and services provided by Magenta Scaling LLC ("Magenta Scaling," "we," "us," or "our"). By accessing our website or using our services, you agree to these Terms.

1. Services

Magenta Scaling LLC provides AI voice agent and automation services for businesses, including AI receptionists that answer calls, schedule appointments, and send related communications. The specific scope of services is defined in the agreement between Magenta Scaling and each client.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use our services.

3. Payments and Subscriptions

• Services are provided on a recurring subscription basis unless otherwise agreed.
• Fees, billing frequency, and payment terms are set out at sign-up and processed through our third-party payment processor.
• Unless otherwise stated, subscription fees are billed in advance and are non-refundable except where required by law.
• We may change pricing with reasonable advance notice; changes apply to subsequent billing periods.

4. Client Responsibilities

You agree to:

• Provide accurate information needed to set up and operate your services;
• Use the services in compliance with all applicable laws, including telemarketing, messaging, and consumer-protection regulations;
• Obtain any necessary consents from your own customers before we send communications on your behalf;
• Not use the services for unlawful, deceptive, or harmful purposes.

5. Acceptable Use

You may not misuse the services, including by attempting to disrupt them, reverse-engineer them, send unlawful or unsolicited messages, or infringe the rights of others.

6. Intellectual Property

All software, configurations, content, and materials we create remain the property of Magenta Scaling LLC unless otherwise agreed in writing. You receive a limited, non-exclusive right to use the services during your subscription.

7. Third-Party Services

Our services rely on third-party platforms (such as voice, messaging, scheduling, CRM, and payment providers). We are not responsible for the availability or actions of those third parties.

8. Disclaimers

The services are provided "as is" and "as available." We do not warrant that the services will be uninterrupted, error-free, or that they will achieve any specific business result.

9. Limitation of Liability

To the maximum extent permitted by law, Magenta Scaling LLC will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenues, arising from your use of the services. Our total liability for any claim is limited to the amount you paid us in the three months preceding the claim.

10. Termination

Either party may terminate services as set out in the applicable agreement. We may suspend or terminate access for violation of these Terms. Upon termination, your right to use the services ends.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

12. Changes to These Terms

We may update these Terms from time to time. The "Effective date" above reflects the latest revision. Continued use after changes constitutes acceptance.
